Senior Legal Counsel

• Higher legal education.
• Work experience of at least 5 years, including IT business support experience.
• Practical experience in corporate law, investment and M&A transactions, legal due diligence.
• Experience in supporting the activities of Astana Hub residents.
• Experience of participation in public procurement and tenders.
• Practical experience in the preparation and approval of IT contracts.
• Experience in support of intellectual property issues and transfer of rights to software.
• The experience of working with the AIFC will be a significant advantage.
• The ability to explain legal risks in a clear business language and offer practical solutions.
• Work experience in Big4 is required.

Responsibilities

• Legal support of intellectual property (IP) issues, including registration of rights to software and intellectual property results.
• Legal support of the company's activities within the framework of Astana Hub.
• Legal support for participation in tenders and public procurement, including analysis of documentation, contracts, requirements and risks.
• Preparation, verification, and approval of commercial and IT contracts, including SaaS, software licensing, software development, integration, and service provision.
• Support of investment and M&A transactions, including transactions on attracting investments, purchase and sale of shares, conducting legal due diligence.
• Legal support for AIFC issues: company registration, corporate changes, preparation of Articles of Association, Shareholders Agreement (SHA), resolutions and other corporate documents.
• Development and maintenance of NDAs, offers, user agreements, privacy policies, and other internal documents.
• Advising management and business on legal risks and options for minimizing them.
• Ensuring corporate compliance and supporting the activities of the group of companies.
