What to do (functional responsibilities)

  • Carrying out checks of compliance with the legislation of the Republic of Kazakhstan of draft orders, contracts and other legal documents submitted for signature by the director of the regional branch; checking compliance with the stages of approval of draft documents with responsible employees; approval of draft documents; issuing instructions to responsible employees of the regional branch on the introduction of Kazakhstan;
  • Preparation and participation together with other structural divisions of the Fund in the preparation of draft regulations related to the activities of the regional branch of the Fund, if necessary, the Head Office of the Fund;
  • Preparation of opinions on legal issues arising in the course of the activities of the regional branch of the Fund;
  • Participation in the claim and claim work on the issues of the Fund's activities;
  • Conducting legal expertise on projects and preparing legal opinions;
  • Drafting of requirements, notifications of non-fulfillment of the main obligation, of auctions for mortgaged property, registration of notifications in the judicial authorities and their delivery to borrowers;

  • Providing employees of the regional branch of the Fund with information on the current legislation of the Republic of Kazakhstan, organizing the study of legislation, other legal acts and local acts of the Fund by employees of the regional branch of the Fund;
  • Conducting legal expertise on projects and preparing legal opinions;
  • Upon termination of the employment contract or transfer to another structural subdivision, transfer to an employee determined by the director of the branch all the cases and documents under the act of acceptance and transfer of official affairs. At the same time, one copy of the signed act of acceptance and transfer of official files is transferred to the authorized structural subdivision for work with personnel with a bypass sheet, and the other copy is sent to the responsible employee for record keeping in the branch.

What to do (functional responsibilities)

1. Planning of development plans of JSC "Baiterek Venture Fund" and JSC "QazTech Ventures" (supervised subsidiaries (DO). Formation of the development plan and supervised programs and the Company's budget by analyzing its impact on the main performance indicators of the Company. Ensuring the actualization of Development Plans and budgets of supervised subsidiaries in order to ensure the implementation of the strategy and the achievement of strategic indicators of the Company.
2. Interaction. Ensuring coordination and approval of Development Plans of supervised subsidiaries and its adjustments with the Company and the Sole Shareholder.
3. Improving business processes. Automation of planning and budgeting processes.
4. Reporting. Preparation of a monthly/quarterly/ annual report on the budget execution of supervised subsidiaries and the Company, an annual report/ monthly/quarterly monitoring of the implementation of the Development Plan of supervised subsidiaries in order to ensure timely informing management about the current state of financial and economic activities of the subsidiaries.
5. Expert support. Preparation of analytical background information and provision of consulting support to the structural divisions of the Company and its subsidiaries, members of the Management Board and the Board of Directors of the Company on issues related to the competence.
6. Methodological support of the processes of planning and monitoring the implementation of Development Plans of subsidiaries of the Company. Develops and amends the methodology for the development, coordination, adjustment and monitoring of the implementation of development plans supervised by the Company, in order to unify the processes and procedures for the formation, coordination and monitoring of development plans of subsidiaries, as well as bringing them into line with the regulatory legal acts of the Republic of Kazakhstan.
7. Approval of the Company's development plan. Organizes and accompanies the process of approving the consolidated development plan of the Company with the Sole Shareholder.
8. Provision of conclusions. Prepares conclusions and develops recommendations on economic issues of supervised organizations and the Company, submitted to the authorized bodies of the Company.

- implementation of internal revaluation of the strategic portfolio of the Company, coordination of the cost of purchase/sale of participation (shares) in project companies (portfolio investments), private equity funds and UP to;

- analysis of the content of the evaluation report for compliance with the requirements of the legislation of the Republic of Kazakhstan on evaluation activities, regulatory legal acts of the Republic of Kazakhstan and other documents regulating the conduct of evaluation, evaluation standards mandatory for use by the subjects of evaluation activities, other standards of professional practice (international standards of evaluation, standards of professional organizations, etc.) that have been used by the appraiser during the evaluation;

- analysis of the estimated part of the evaluation report in terms of the correctness of the application of approaches, selection and application of evaluation methods, as well as analysis of the design of evaluation reports with the study of documents used by the appraiser and establishing quantitative and qualitative characteristics of the object of evaluation, including title, identification and technical documents, as well as technical inventory documents, printouts from Internet resources, copies of newspaper publications, conclusions of special examinations and other documents on the object of assessment (if any), as well as photos- and (or) video materials;

- approval of the appraiser's assessment report on the assessment of the fair value of investments BEFORE and/or the Company for financial statements;

Coordination and analysis of the effectiveness of the activities of existing domestic and foreign direct investment funds in which the Company directly or indirectly has a stake, as well as participates in the management and investment decision–making of these investment funds, including through direct or indirect participation in the management company of these investment funds (hereinafter - Captive Funds), management companies, special purpose companies and other subsidiaries in the field of investment activity.

What to do (functional responsibilities)
Selection and analysis of proposals for the creation/participation in Captive Funds:

 - analyzes and selects the most promising proposals for the creation of new or participation of the Company in existing domestic and foreign Captive funds in order to form a high-quality investment portfolio.

Structuring and defining the basic conditions of Captive Funds, including changing the conditions of participation in Captive Funds:
optimal structuring and determination of the basic conditions for the creation of Captive Funds/participation of the Company in Captive Funds and in their activities, ensuring the maximum possible observance and protection of the interests of the Company, including based on the opinions of independent experts involved in the process;
amendments to the basic conditions of participation in Captive funds;
organization, if necessary, of independent legal, financial and other expertise/evaluation of proposals, including the search and involvement of independent experts / expert / evaluation organizations.

3) Termination of the Company's participation in Captive Funds:

 - carrying out the necessary work to terminate the Company's participation in Captive Funds, including submitting issues for consideration by the authorized body of the Company (if necessary), accompanying the conclusion of the necessary documentation (if necessary).

4) Monitoring the activities of Captive funds:

monitoring the activities of Captive Funds and/or special purpose companies in accordance with the Company's internal regulatory documentation;
preparation of materials for consideration of current issues of Captive Funds at meetings of authorized bodies of the Company;
preparation of relevant presentation materials on Captive Funds for potential partners, as well as for reporting on the activities of the Department;
preparation and collection of necessary documentation for payment of notifications on payment of obligations of the Company of Captive Funds;
formation of a recommendation for a representative of the Company in the management bodies of the Captive Fund;
submission of reports on the activities of Captive Funds for consideration by the authorized bodies of the Company.

5) Investment analysis of portfolio companies with participation of Captive Funds of the Company:

 - analysis of portfolio companies of the Company's Captive Funds in order to form a recommendation for the Company's representative in the management bodies of the Captive Fund;

 - periodic monitoring of portfolio companies of Captive funds;

 - cost analysis of companies planned for acquisition by Captive Funds with a high degree of control by the Company;

 - selective cost analysis of portfolio companies of Captive Funds for internal purposes of the Company, including for semi-annual evaluation.

6) Assistance in the implementation of projects of state programs, participation of the Company in state programs:

  - participation in the preparation of analytical information, presentation;

- participation in monitoring the implementation of programs by the Company and Captive Funds of the Company.

7) Participation in the collection and preparation of information for the development of financial and economic justifications in order to allocate funds from the Republican Budget of the Republic of Kazakhstan.

8) Performance of other duties in accordance with the Company's internal regulatory documents and instructions of the Director, Managing Director and supervising Deputy Chairman of the Management Board of the Company within their competence, including, but not limited to:

correspondence with the Sole Shareholder of the Company on issues related to investment activities;
interaction with applicants and potential partners, including providing information about the Company's activities, its investment policy, criteria and procedures for selecting Captive Funds for investment;
maintaining a database of Captive funds and project companies;
participation in the composition of working groups, commissions, in negotiations within their competence;
participation in the preparation of information on the implementation of program documents, instructions and requests of state bodies, for which the Department is the responsible executor (co-executor) to the authorized state bodies within the time limits specified by the instructions;
